Terms of Service

Please read these Terms of Service carefully before using the Flo platform. These Terms govern your access to and use of our APIs, trading infrastructure, and related services.
1. Acceptance of Terms
By accessing or using the Flo platform, APIs, website, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree with any part of these Terms, you must not access or use the Services.
2. Definitions
"Flo" refers to Flo Technologies Ltd., a company incorporated under the laws of the British Virgin Islands. "User" refers to any individual or entity that accesses or uses the Services. "API" refers to the application programming interfaces provided by Flo for programmatic access to the Services. "Digital Assets" refers to stablecoins, tokens, and other blockchain-based representations used for settlement. "Traditional Assets" refers to equities, bonds, ETFs, forex, commodities, and other financial instruments accessible through the Services.
3. Eligibility and Account Registration
You must be at least 18 years of age and not a resident of any jurisdiction where use of the Services is prohibited. To access the API, you must complete our onboarding process, which includes identity verification (KYC) and compliance screening. You are responsible for maintaining the confidentiality of your API keys and account credentials. You agree to notify Flo immediately of any unauthorized use of your account. Flo reserves the right to refuse service, suspend, or terminate accounts at its sole discretion.
4. API Usage and Rate Limits
Access to the Flo API is subject to rate limits, usage quotas, and fair-use policies as described in our API documentation. You agree not to: (a) exceed published rate limits or attempt to circumvent throttling mechanisms; (b) use the API to conduct market manipulation, wash trading, or any form of abusive trading; (c) redistribute, resell, or sublicense API access without prior written consent; (d) reverse-engineer, decompile, or attempt to extract the source code of the API; (e) use automated systems to scrape, crawl, or index the Services beyond intended API use. Flo may modify rate limits, endpoints, or API specifications at any time with reasonable notice.
5. Fees, Billing, and Settlement
Use of the Services is subject to fees as published on our pricing page and in individual agreements. Fees may include mint and redeem fees, market data fees, and any other fees described on the pricing page. All fees are denominated in USD unless otherwise specified. Settlement occurs onchain via supported stablecoins (USDC and USDT) on supported blockchain networks. You are responsible for ensuring sufficient funds in your settlement wallet prior to mint or redeem execution. Flo reserves the right to modify fee schedules with 30 days prior written notice.
6. Mint and Redeem Execution
Flo acts as an intermediary routing mint and redeem requests to regulated prime brokers (Interactive Brokers and Alpaca Securities) and tokenization partners for private credit. Flo does not guarantee execution of any mint or redeem at a specific price or within a specific time frame. Fills occur at the best available price at the time of execution at the underlying broker. Past performance of any strategy is not indicative of future results. You acknowledge that minting and redeeming tokenized positions in financial instruments involves substantial risk of loss.
7. Intellectual Property
All intellectual property rights in the Services, including but not limited to the API, documentation, website, trademarks, logos, and underlying technology, are and shall remain the exclusive property of Flo. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use the Services in accordance with these Terms. You may not use Flo's name, logo, or trademarks without prior written consent. Any feedback, suggestions, or improvements you provide regarding the Services may be used by Flo without obligation to you.
8. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You acknowledge that Flo may collect, process, and store data related to your use of the Services, including trading activity, API usage, and account information. You represent that any data you provide to Flo is accurate and that you have the right to share such data.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Flo, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, trading losses, or business opportunities, arising out of or in connection with your use of or inability to use the Services. Flo's total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to Flo in the twelve (12) months preceding the event giving rise to the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, strict liability, or otherwise.
10. Indemnification
You agree to indemnify, defend, and hold harmless Flo and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) your violation of any third-party rights; or (e) any trading activity conducted through your account.
11. Service Availability and Modifications
Flo strives to maintain high availability of the Services but does not guarantee uninterrupted access. The Services may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our control. Flo reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. Flo shall not be liable for any modification, suspension, or discontinuation of the Services.
12. Termination
Either party may terminate these Terms at any time by providing written notice to the other party. Flo may immediately suspend or terminate your access to the Services if: (a) you breach any provision of these Terms; (b) we are required to do so by law or regulatory order; (c) we reasonably believe your account has been compromised; or (d) continued provision of Services to you poses a risk to Flo or other users. Upon termination, all outstanding trades will be settled and any remaining balances will be returned to your designated wallet within 30 business days, minus any applicable fees or obligations.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be referred to and finally resolved by arbitration administered by the BVI International Arbitration Centre in accordance with its rules. The seat of arbitration shall be Road Town, Tortola, British Virgin Islands. The language of arbitration shall be English.
14. Miscellaneous
These Terms constitute the entire agreement between you and Flo regarding the Services and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Flo's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Flo may assign these Terms without restriction. You may not assign or transfer these Terms without Flo's prior written consent. Headings are for convenience only and shall not affect the interpretation of these Terms.
